TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Delegate You Inc website and services. By accessing this website, submitting an application, or purchasing services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use this website or services.

SERVICES PROVIDED

Delegate You Inc provides virtual assistant placement and operational support services, including the identification, vetting, and placement of Client Operations Virtual Assistants, as well as guided onboarding and coordination support.

Delegate You Inc does not provide legal, financial, or business consulting services and does not guarantee any specific results, outcomes, revenue increases, productivity gains, or performance metrics.

Services are limited to the scope described at the time of engagement.

NO EMPLOYMENT RELATIONSHIP

Virtual assistants placed through Delegate You Inc are not employees of the Client. Delegate You Inc retains the contractual relationship with all virtual assistants unless otherwise agreed in writing.

Client agrees not to directly solicit, hire, contract, or engage any Delegate You Inc virtual assistant outside of Delegate You Inc for a period of twelve (12) months following placement.

APPLICATION AND ACCEPTANCE

Submission of an application does not guarantee acceptance, placement, or service delivery. Delegate You Inc reserves the right, at its sole discretion, to accept or decline any application for any lawful reason.

FEES, PAYMENTS, AND NO REFUNDS

All fees are disclosed prior to engagement and must be paid in full before services commence.

Placement fees are earned upon initiation of the placement process and are non-refundable once matching, sourcing, or coordination begins. Client acknowledges that time, labor, and resources are expended immediately upon commencement of services.

Ongoing services, if applicable, are billed in advance and are non-refundable for any period already started.

All payments are processed through third-party payment processors, including Stripe. Delegate You Inc does not store full payment credentials.

REPLACEMENT POLICY

If Client determines that a placed virtual assistant is not a fit within the first thirty (30) calendar days, Delegate You Inc will provide one replacement at no additional placement fee.

Replacement eligibility requires that Client has provided timely onboarding access, clear expectations, and reasonable cooperation.

Replacement does not apply to changes in scope, availability requirements, pricing preferences, or Client non-participation.

Replacement is the sole and exclusive remedy for dissatisfaction with placement services.

CLIENT RESPONSIBILITIES

Client agrees to:
• Provide accurate and complete information during application and onboarding
• Provide timely access to tools, systems, and documentation
• Communicate expectations clearly and professionally

Failure to meet these responsibilities does not constitute a failure of service by Delegate You Inc and does not entitle Client to a refund, chargeback, or payment reversal.

INTELLECTUAL PROPERTY

All website content, branding, trademarks, service descriptions, processes, and materials used by Delegate You Inc are owned by or licensed to Delegate You by its parent or affiliated entities and are protected by applicable intellectual property laws.

Nothing in these Terms grants Client any ownership interest in Delegate You Inc intellectual property. Client is granted a limited, non-transferable, non-exclusive license to access materials solely for the purpose of receiving services.

CONFIDENTIALITY

Delegate You Inc agrees to maintain the confidentiality of Client information disclosed during service delivery. Client agrees to maintain confidentiality of Delegate You Inc processes, materials, pricing, and virtual assistant information.

DISCLAIMER OF WARRANTIES

Services are provided “as is” and “as available.” Delegate You Inc makes no warranties, express or implied, regarding performance, results, or fitness for a particular purpose.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Delegate You Inc shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, profits, data, goodwill, or business interruption.

Delegate You Inc's total cumulative liability for any claim arising from or related to services shall not exceed the total amount paid by Client to Delegate You Inc in the three (3) months immediately preceding the claim.

CHARGEBACKS AND PAYMENT DISPUTES

Client agrees to contact Delegate You Inc directly to attempt to resolve any billing or service concerns before initiating a chargeback or payment dispute. Initiating a chargeback without first contacting Delegate You Inc may result in immediate suspension of services and forfeiture of any replacement eligibility.

TERMINATION

Either party may terminate ongoing services with written notice in accordance with the agreed engagement terms. Placement fees remain non-refundable once services have commenced.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the state in which Delegate You Inc is registered, without regard to conflict of law principles.

CHANGES TO TERMS

Delegate You Inc reserves the right to update these Terms at any time. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.
